A legal notice is the step between chasing an invoice and actually litigating it. Its value is mostly procedural: it puts the demand in writing, in a form the recipient recognises as serious, and it establishes a documented record that you asked before you escalated. For many overdue invoices that is enough on its own, because it moves the matter from a project manager who can ignore it to a finance or legal function that cannot.

Do I need a lawyer to send a legal notice?
No. A notice sent in your own name is valid. A notice on a lawyer's letterhead carries more weight and costs a fee — it is often worth it for larger sums, and unnecessary for smaller ones where the goal is simply to be taken seriously.
What can I do if the notice is ignored?
If you are registered as a micro or small enterprise on Udyam, the MSME facilitation route is open to you: a buyer who pays a registered enterprise more than 45 days after accepting the work owes compound interest at three times the RBI bank rate, and the council must dispose of a complaint within 90 days. That registration has to be in place before the dispute, so it is worth doing now rather than when you need it.
Should I send a reminder or a legal notice?
Reminders first, on a schedule, escalating in tone. A notice sent too early looks disproportionate and can end a workable relationship over an administrative delay. A notice sent after three ignored reminders looks like exactly what it is.
